Contract Terms and Conditions

These General Terms and Conditions define the provision of services to customers offered by Sado Business Center, the trade name of Bluelemon – Agência de Design, Marketing e Publicidade, Lda, headquartered in Setúbal, District of Setúbal. Contracts between Sado Business Center and the Client, relating to each Service, are deemed concluded upon the validation of the contract by Sado Business Center services and the respective payment of agreed amounts.

Clause I – General Use of the Contracted Administrative Service

  1. The contracted service is not a lease of the provided address. The sole leaseholder of the address for service provision is the legal entity Bluelemon – Agência de Design, Marketing e Publicidade, Lda.
  2. The service remains valid as long as the leaseholder retains the space. If Sado Business Center ceases to provide the address, the client must terminate the fiscal head office’s domiciliation service, with a 30-day notice period. The client cannot claim damages from third parties resulting from the termination of the domiciliation service.
  3. The client cannot sublease the service of this contract to third parties.
  4. The company is not liable for any lost mail or documents of the client that are lost for any reason not attributable to the company’s fault.
  5. Services mentioned will be provided on working days between 9:00 AM and 1:00 PM and from 2:00 PM to 6:00 PM, except for any unavailability of Sado Business Center.

Clause II – Contract Duration

  1. This contract begins upon payment for the subscription of services, whereby the Client acknowledges and accepts the terms and conditions herein presented.
  2. This contract will last for 12 months and will automatically renew for equal periods unless either party indicates otherwise in writing via registered letter or email to Sado Business Center up to 60 (sixty) days before the renewal date.

Clause III – Price and Procedure

  1. Upon signing this contract, the Client will pay the monthly fee and a deposit. The amount of the deposit will vary according to the plan contracted. The refund of this deposit will be made at the end of the Contract upon the settlement of all payments due by the Client. The deposit amount only applies to monthly, quarterly, and semi-annual payments.
  2. In the event of renewal, the price payable by the client will be the current rate in effect at Sado Business Center.
  3. On the service renewal date, Sado Business Center will send the Client an invoice via email indicating the amount to be paid and the payment details. The client has 15 working days to make the payment. After payment confirmation, a receipt will be issued.

Clause IV – Client’s Default

  1. Any delay by the Client in the payment of monthly or annual fees will result in the suspension of the service until the payments are made, and the Client will automatically be in default, incurring a penalty for the delay. If the outstanding amount is not settled, the contract will be deemed terminated.
  2. In such cases, Sado Business Center reserves the right to pursue any legal means to enforce the payment of outstanding services or other unsettled financial obligations by the client.
  3. The partner is jointly liable for payments.

Clause V – Abusive Use by the Client

The Client agrees to indemnify Sado Business Center from any action, claim, cost, or expense, including legal costs, arising from the Client’s breach of obligations and guarantees accepted under this service agreement, in any way related to the use of the Services by the Client.

Clause VI – Suspension and Termination

  1. Our company may suspend or terminate the service provided without the client being entitled to any refund or compensation if the client violates any of the obligations set out in Clauses I, IV, or V or if the use does not fit the type of use stipulated in Clause I.
  2. The company may choose freely between suspension and termination. The criteria for applying the sanction will be based on the severity of the violation, damage caused to third parties, and fault.

Clause VII – Contract Termination

  1. If the contract ends upon the expiration of the agreed term, our company will notify the client of the arrival of mail for an additional period of 15 days and will forward it at the applicable rates for forwarding.
  2. After the 15-day period, our company reserves the right to mark all incoming mail with a return-to-sender indication.
  3. In the event of termination due to abusive use, the client undertakes to remove the service address from all licenses, contracts, registrations, and as a mailing or fiscal address within a maximum period of 15 days.

Clause VIII – Notifications

  1. Any notification between the parties must be in writing and sent via email or registered letter.
  2. Sado Business Center’s email for any notification is geral@sadobusiness.pt and its address is Rua Doutor António Manuel Gamito nº 23 A 2900-056 Setúbal.
  3. The client’s address used by Sado Business Center will be the one provided by the client in this contract.

Clause IX – Jurisdiction and Acceptance of Services

This Contract is governed by Portuguese Law.
Our company and the client agree that any legal action regarding these general conditions and the respective contract will be brought exclusively before the competent court in the district of Setúbal.

By law, I declare that I have carefully read and expressly approve all the clauses herein.
